Insurance Brokerage Consolidation: Acquisition Premiums, Operating Synergies, and Post-Merger Financial Performance
Main Article Content
Abstract
Purpose: Insurance brokerage has become one of the most acquisitive corners of financial services. We ask three linked questions: why acquirers keep paying rising premiums for brokers, where the operating synergies that justify those premiums actually come from, and what the evidence says about financial performance once the deal is done.
Design/methodology/approach: We conduct an integrative review that brings together three bodies of work that rarely speak to each other: the insurance economics literature on intermediaries and insurer M&A, the corporate finance literature on private equity buy-and-build strategies and acquisition pricing, and the management literature on acquiring knowledge-intensive, people-dependent firms. We complement the academic record with industry deal data published between 2021 and 2025.
Findings: The review suggests that broker consolidation is driven less by classic cost synergies than by a combination of multiple arbitrage, recurring commission income that supports high leverage, and revenue synergies from cross-selling and carrier leverage. Premiums are sustained by deal structures, notably earn-outs, that shift risk back to sellers and help retain producers. Evidence on post-merger performance remains thin and is concentrated on insurers rather than intermediaries. Where it exists, it points to efficiency gains that depend heavily on integration discipline and on keeping client-facing talent.
Originality/value: We offer, to our knowledge, the first integrative model linking acquisition premiums, synergy mechanisms and post-merger outcomes specifically for insurance intermediaries. We set out six propositions and a research agenda for scholars, and we highlight practical implications for acquirers, sellers and regulators.
